Terms and Conditions

These Terms & Conditions (“Terms”) govern all sales and exports of products by Dryice Global LLP (“we,” “our,” “us”) to international wholesale buyers (“you,” “your”). By placing an order with us, you agree to the following:

1. Order Placement & Acceptance

• a. All orders are subject to written confirmation by Dryice Global LLP.
• b. Orders will only be processed once confirmed by both parties in writing (via email, purchase order, or signed agreement).

2. Pricing & Payment Terms

• a. All prices are quoted in [USD/INR or as mutually agreed] and are exclusive of shipping, insurance, customs duties, or taxes unless otherwise stated.
• b. Full payment must be made within 5 business days from the date of order confirmation, unless otherwise agreed in writing.
• c. Payments are to be made via bank transfer or other agreed secure payment methods.
• d. Late payments may incur interest at 5% per month and may delay shipment.

3. Delivery & Shipping

• a. Standard delivery timeline is within 60 days of order confirmation, subject to product availability, export formalities, and shipping/logistics conditions.
• b. Delivery terms (FOB, CIF, EXW, etc.) will be as mutually agreed in the purchase contract.
• c. Risk of loss or damage passes to the buyer once goods are handed over to the carrier/shipping company.

4. Quality & Inspection

• a. We guarantee products are supplied in accordance with the agreed specifications and international quality standards.
• b. Buyers are responsible for inspection upon receipt and must notify us of any claims or discrepancies within 3 business days of delivery.

5. Cancellations & Returns

• a. Once confirmed, orders cannot be canceled or modified without written approval.
• b. Returns are only accepted if products are defective, not as per agreed specifications, or damaged in transit (subject to shipping terms and proof).

6. Force Majeure

We are not liable for delays or non-performance due to circumstances beyond our control, including but not limited to natural disasters, strikes, port delays, government restrictions, or shipping disruptions.

7. Compliance & Certifications

• a. Dryice Global LLP ensures compliance with applicable export regulations, FSSAI, APEDA, HACCP, and other international quality standards.
• b. Buyers are responsible for import licenses, duties, and local compliance in their respective countries.

8. Limitation of Liability

• a. Our liability is limited to the replacement of defective goods or refund of the purchase price, at our discretion.
• b. We are not responsible for indirect, incidental, or consequential losses.

9. Governing Law & Dispute Resolution

• a. These Terms shall be governed by the laws of India.
• b. Any disputes shall be subject to arbitration in New Delhi, India, in accordance with the Arbitration and Conciliation Act, 1996.
• c. The decision of the arbitrator will be final and binding.
